Should you incorporate in Delaware?
Many internet-based enterprises advertise a Delaware entity as a business panacea (and often a way to avoid paying State taxes.) Certainly Delaware enjoys well established corporate laws, which makes it a premier State of incorporation for multinational concerns.

However, if your goal is to create a small California-based business, a Delaware incorporation may turn out to be a needlessly expensive choice. Using such an entity to try and avoid State taxes might be illegal and dangerous.
